Limitations of 64bit FC5 dual boots with 32bit XP

I am installing FC5 for the first time on an AMD64 based machine and do have one concern. I am using the 64bit version of FC for obvious reasons, but the OS I am setting up the dual boot with is windows xp 32bit. Are there any issues that would not allow this? My main concern is whether the processor needs a full restart to switch from 32 to 64bit mode. Is this correct? I do seem to remember that the AMD64 emulates 32bit, but I’m not sure at what level it does. Anyone with any info on the subject? Thanks for any help.
